Legal Manager

Scope of work: This position is responsible for the legal aspect (corporate, comercial and project) of Amata City Ha Long; and new Projects in the North of Vietnam as Share Service Function.

1. Corporate:

• Coordinate and contact with relevant government authorities in Quang Ninh for implementing of administrative procedures related to business operations of the company: business registration procedures, establishment Company / Rep Office / Branch and changes in business registration related content.
• Providing legal advice for operation such as sale& marketing, intellectual property, labor & employment, other relevant activities...

2. Project

• Coordinate and contact with relevant government authorities; Work with external consultant for implementing of administrative procedures related to amending Investment Certificate, Prior Investment Approval.
• Provide legal advice on M&A deal; draft/review/work with external consultant to finalise all agreements/contract relevant to M&A deal.
• Provide legal comments and recommendations projects procedures in Quang Ninh and other contract in the North of Vietnam (if any) and respect of land, compensation, industrial estate, real estate & property, project management...

3. Commercial

• Draft, review and revise all kinds of commercial contracts (lease, sale, services contract, construction contract, consultant contract...) and various forms of agreements or legal documentations in both Vietnam and English, other documents for operation.
• Support all special legal mission and high professional practice as assigned.
• Dispute: Set the strategy for litigation matters which cover the preparation and collection of evidence, sending notices, drafting the plaint or any summons regarding the lawsuit, coordination with the outsource lawyer due to explain the background of case and strategy of company.

• Bachelor or Master’s Degree in Law, have the Lawyer Practice Certificate, fluent in English, Ms. Office.
• At least 8 years of experience in international law firm or leading in-house counsel.
• At least 8 experience of experience in drafting and reviewing contracts and agreements is a must.
• Have experience in conducting as the litigation lawyer in court and the execution process.
• Have experience at least 5 years in the governmental registration process.
• Have the skill and knowledge in all business law such as the Environmental Law, Industrial Estate Regulation, Land Law, Factory Law, Foreign Business Law, etc. is a must as it is the main business of the company.
• Demonstrated understanding of project management concepts, commercial, real estate, corporate, M&A.
• Commercial sense and mindset.
• Prefer candidates living in Quang Ninh, Hai Phong, Hanoi or nearby areas can relocate in the long term to Quang Ninh.
